Background Check Report
An issuer utilizing the Regulation D, Rule 506 Securities exemption or other Securities exemption, is required to conduct a factual inquiry into past criminal convictions, regulatory or court orders, or certain other disqualifying events for all members of the management team, any promoters of the offering, and any person who acquires ≥20% of any class of interests (“Covered Persons”) in your Offering.
If certain events are discovered, management may be required to deny admission, restrict voting rights, or disclose the event to all investors in the Offering.
This is not optional. Per SEC and Syndication Attorneys’ policy, any persons on your management team who fail to provide this report will be excluded from your final organization chart and your final Offering documents. This could affect the underwriting for your Offering so it is imperative that you require all prospective members of your management team to complete this background check prior to admission to your team.
As a convenience for our clients, Syndication Attorneys, PLLC has partnered with EarlyIQ, Inc., an industry-leading third-party verification service. The detailed information you provide will NOT be accessible by anyone outside of EarlyIQ's U.S.-based analysts who validate the information you provide. Syndication Attorneys will not have access to any sensitive information you provide during the application process. A copy of your report will be provided to Syndication Attorneys, PLLC and to you. You will provide the report you receive from EarlyIQ to the designated Manager of the Securities Offering as proof of your eligibility to participate as a Covered Person. NOTE: The fee for this service is $89 per individual.
Start by registering with EarlyIQ below and providing payment information - doing so only takes a couple of minutes. You'll be asked to provide some basic information about yourself and your identity will be verified automatically. You will also be asked to disclose any events that, per SEC policy and Regulation D, Rule 506(d), could be either disqualifying or require disclosure prior to your participation in the offering.
